Welcome to the IndoAI Edge AI Camera App (the “App”), provided by IndoAI Technologies Pvt. Ltd. (“we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the App, and any associated services or content provided by us. By accessing, downloading, or using the App, you agree to comply with and be bound by these Terms, along with our Privacy Policy, which is incorporated by reference. If you do not agree with these Terms, you must immediately discontinue use of the App.

1. Acceptance of Terms:

By creating an account, downloading, accessing, or using the IndoAI Edge AI Camera App, you confirm that you have read, understood, and agreed to these Terms. If you are using the App on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Changes to Terms of Service

We reserve the right to update, modify, or amend these Terms at any time. All changes will be effective immediately upon posting to the App. It is your responsibility to review these Terms periodically. Continued use of the App after any changes to these Terms constitutes acceptance of those changes. If you do not agree to the amended Terms, you must stop using the App.

To use the IndoAI Edge AI Camera App, you must be at least 18 years old or the legal age of majority in your jurisdiction. By using the App, you represent and warrant that you meet these eligibility requirements.

4. Account Registration and Responsibilities

1. Registration Process:To use certain features of the App, you must create an account by providing accurate and up-to-date information. Failure to maintain accurate information may result in suspension or termination of your account.
2. Account Security:You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately if you suspect any unauthorized access or breach of security. We are not liable for any loss or damage arising from your failure to protect your account.
3. Prohibited Activities:You agree not to use the App in any way that:
  1. Violates any applicable law or regulation;
  2. Infringes on the intellectual property or other rights of any third party;
  3. Compromises the security or functionality of the App through unauthorized access, data mining, or introducing viruses or harmful code;
  4. Attempts to reverse-engineer or decompile the App.

5. Licence and Permitted Use

1. Limited License: We grant you a limited, revocable, non-exclusive, and non-transferable license to access and use the IndoAI Edge AI Camera App in accordance with these Terms. This license is for personal and business use and is subject to your compliance with these Terms.
2. Use Restrictions:You are prohibited from:
  1. Sub-licensing, selling, renting, leasing, or distributing the App or any part of it;
  2. Modifying, adapting, or creating derivative works of the App;
  3. Using the App in a manner that could interfere with, disrupt, or create an undue burden on the App or our servers.
3. Updates and Changes:We may update or modify the App at our discretion to improve performance or functionality. Some features may require you to update your version of the App. We are not liable for any issues arising from your failure to update.

6. AI Camera Usage and Functionality

1. Edge AI Camera Functionality: The IndoAI Edge AI Camera processes video footage and images in real-time using AI models integrated into the App. You are responsible for ensuring that the camera is installed and used according to any applicable local laws, especially regarding surveillance and data protection.
2. AI Model Integration: The App provides access to various customizable AI models that can be deployed on your IndoAI camera. These models can be used for functions such as facial recognition, object detection, and behavioral analysis, depending on your specific needs. Performance may vary based on environmental factors, hardware configurations, and the selected AI models.
3. On-Device Data Processing: The App processes camera data on the edge device (on-device AI processing) to optimize performance and minimize transmission of data to external servers. Video footage and images are processed locally, but you are responsible for ensuring compliance with any data privacy laws applicable to your jurisdiction.
4. Usage Restrictions: You are solely responsible for any misuse of the IndoAI Edge AI Camera in breach of privacy laws, including but not limited to unauthorized recording of individuals or use in restricted areas without appropriate consent.

7. Data Collection and Privacy

1. Personal Data Collection: By using the IndoAI Edge AI Camera App, you agree to the collection, use, and processing of personal information as outlined in our Privacy Policy. This may include, but is not limited to, data related to your account registration, camera configuration, and interaction with the App.
2. Video and Image Data: The IndoAI Edge AI Camera may capture video footage and images for real-time processing by AI models. You are responsible for managing the collection, storage, and deletion of any video or image data in compliance with applicable privacy and data protection laws.
3. Use of AI Models: By deploying AI models on the IndoAI Edge AI Camera, you understand that these models analyse real-time data and produce results based on the configuration and input data. You assume all risks associated with the accuracy, reliability, and legality of the AI models’ output.

8.Fees, Payment, and Subscriptions

Paid Features and Subscriptions: Some features of the IndoAI Edge AI Camera App may require a subscription or one-time payment. By signing up for a subscription or purchasing any services, you agree to the applicable fees and payment terms.
Billing Information: You must provide accurate and complete billing information, including payment method details, and keep it updated. All payments will be processed via secure payment gateways.
Auto-Renewal: Unless otherwise specified, subscriptions will automatically renew at the end of the term. You may cancel auto-renewal at any time through your account settings, but cancellations must be made before the renewal date to avoid charges for the next billing period.
Refund Policy: All payments are non-refundable unless otherwise stated in specific promotional offers or required by applicable law. Please review all terms before purchasing services or subscriptions.

9. Intellectual Property Rights

1. Ownership of the App: The IndoAI Edge AI Camera App and all content, designs, logos, software, and materials associated with it are the intellectual property of IndoAI Technologies Pvt. Ltd. and are protected under applicable copyright, trademark, and intellectual property laws.
2. User Content: If you upload or share any content (such as camera settings or AI model configurations) through the App, you retain ownership of that content. However, by sharing or uploading content, you grant us a non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of operating the App.

10. Limitation of Liability

1. No Warranty: The IndoAI Edge AI Camera App is provided on an “as-is” and “as-available” basis without any warranties of any kind, either express or implied. We do not warrant that the App will be error-free, secure, or uninterrupted, or that any defects will be corrected.
2. Limitation of Damages: To the fullest extent permitted by law, IndoAI Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of your use of the App.
3. Maximum Liability: In any event, our total liability to you for any claim arising out of or relating to these Terms or your use of the App shall not exceed the amount you paid us, if any, during the twelve (12) months immediately preceding the claim.

11. Indemnification

You agree to indemnify and hold IndoAI Technologies Pvt. Ltd., its officers, directors, employees, and affiliates harmless from any claims, liabilities, damages, expenses, and costs (including legal fees) arising out of your use of the App, violation of these Terms, or breach of any third-party rights.

12. Termination and Suspension

1. Termination by You: You may terminate your account at any time by contacting us at [email protected]. Upon termination, your licence to use the App will cease, and you must stop using the App.
2. Termination by Us: We reserve the right to suspend or terminate your access to the App if you violate these Terms or engage in unauthorized activities. We also reserve the right to terminate the App or any part thereof at our discretion.
3. Effect of Termination: Upon termination of your account, you will no longer have access to your account data, including any video footage or AI model configurations. We are not liable for any loss of data resulting from the termination of your account.

13. Governing Law and Dispute Resolution

1. Governing Law:These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
2. Dispute Resolution: In the event of any dispute arising out of or related to the use of the App or these Terms, the parties shall first attempt to resolve the dispute informally through negotiation. If such negotiation does not resolve the dispute within 30 days, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the Indian Arbitration and Conciliation Act.
3. Jurisdiction: Any disputes arising out of or relating to these Terms that cannot be resolved through arbitration shall be subject to the exclusive jurisdiction of the courts located in Pune, India.
4. Injunctive Relief: Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief from any court of competent jurisdiction to prevent or remedy a breach of these Terms.

14. Force Majeure

IndoAI Technologies Pvt. Ltd. shall not be held liable for any failure to perform or delay in the performance of its obligations under these Terms if such failure or delay results from events beyond its reasonable control, including but not limited to acts of God, war, terrorism, government actions, labor strikes, natural disasters, power outages, or failure of internet services or other third-party providers.

15. Third-Party Services

1. Third-Party Links and Integrations:The App may contain links to third-party websites, services, or content that are not owned or controlled by IndoAI Technologies Pvt. Ltd. We are not responsible for the content, terms of service, or privacy practices of any third-party sites or services. If you access third-party services through our App, you do so at your own risk, and your use of those services is governed by their terms and policies.
2. Third-Party Service Providers:Certain features of the App may rely on third-party service providers, including cloud storage services, analytics providers, or payment processors. We are not liable for the actions, errors, or omissions of these third-party service providers.

16. App Updates and Maintenance

1. Updates: We may provide updates, patches, or new versions of the App at our discretion to improve functionality, add new features, or address security vulnerabilities. These updates may be automatically installed or may require you to manually update the App.
2. Maintenance: We reserve the right to perform maintenance on the App, which may result in temporary disruptions or unavailability of certain features. While we strive to minimise such disruptions, we are not liable for any damages or losses resulting from service outages.

17. Feedback and Suggestions ;

If you provide us with any suggestions, ideas, or feedback regarding the App, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use, reproduce, modify, and implement such feedback for any purpose, including product development, without any obligation to compensate you.

18. Miscellaneous

1. Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices or terms referenced within the App, constitute the entire agreement between you and IndoAI Technologies Pvt. Ltd. regarding the use of the App, and supersede any prior agreements or understandings.
2. Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
3. No Waiver:Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of IndoAI Technologies Pvt. Ltd.
4. 18.4 Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
